Acquisition Agreement Signed: Atlassian to Purchase DX

Atlassian Acquires Developer Intelligence Platform DX for $1 Billion

Atlassian Corporation, a leading provider of team collaboration and productivity software, has announced its acquisition of DX, a developer intelligence platform. The deal, valued at around $1 billion, is expected to close in the second quarter of Atlassian's fiscal year 2026, subject to customary closing conditions and regulatory approvals.

DX, a platform for engineering intelligence, has already established a strong pre-sales and post-sales engineering motion with enterprises, maximizing the value and effectiveness of its offerings. Nearly all of DX's customers are Atlassian users, making the acquisition an opportunity for DX to expand its reach to Atlassian's customer base of over 300,000 customers worldwide.

The acquisition reflects Atlassian's strategic leadership and investment in AI to improve engineering intelligence and software development processes. DX addresses the challenge of understanding productivity gains and returns on AI investments for engineering teams. By integrating DX, Atlassian and DX will provide a holistic view of developer productivity and satisfaction through measurement, visibility, and real-time insights.

The expected benefits for Atlassian include extending its leadership in the team collaboration and productivity software space, and developing and commercializing developer productivity and satisfaction software. The transaction does not change Atlassian's previously issued fiscal year 2027 non-GAAP operating margin target.

However, the financial statement impact of the transaction on Atlassian, including any impact on its share repurchase strategy, is uncertain. Atlassian's ability to successfully integrate the business, technology, product, personnel, and operations of DX is a risk factor in the transaction. If any risks or uncertainties associated with Atlassian's and DX's business materialize, actual results could differ materially from the forward-looking statements.

Atlassian's collaboration software powers over 80% of the Fortune 500 and serves a diverse range of customers, including NASA, Rivian, Deutsche Bank, United Airlines, and Bosch. DX serves hundreds of the world's most iconic companies, including Dropbox, Block, Pinterest, and BNY.

Once integrated, the DX platform will become a crucial part of Atlassian's System of Work, providing customers with insights and tools to improve team effectiveness and connection. The acquisition is a significant step forward in Atlassian's mission to help teams collaborate and work more efficiently.
