Mahindra Completes Acquisition of SML Isuzu, Becomes New Promoter
Mahindra & Mahindra Ltd. (M&M) has completed a significant acquisition, securing a controlling 58.96% stake in SML Isuzu Ltd. (SML) on August 1, 2025. The transaction, valued at ₹554.65 crore, sees Mahindra become the new promoter of SML Isuzu. The company is set to be renamed 'SML Mahindra Limited' following the acquisition.
The deal involved Mahindra buying a 43.96% holding from Sumitomo Corporation for ₹413.55 crore and a 15% holding from Isuzu Motors Ltd. for ₹141.10 crore. Vinod Sahay has been appointed as the Executive Chairman of SML Isuzu Ltd., while Venkat Srinivas takes charge as the Executive Director and Chief Executive Officer.
The acquisition provides Mahindra access to SML's Punjab-based manufacturing plant, expanding its production capabilities. It also increases Mahindra's dealer and service centre reach, strengthening its presence in the market. Following the acquisition, Mahindra has the option to purchase up to 84.96% of the company's shares through an open offer made at ₹1,554.60 a share.
The acquisition of SML Isuzu by Mahindra & Mahindra Ltd. is a strategic move that expands Mahindra's automotive footprint and production capacity. The renamed 'SML Mahindra Limited' will operate under the leadership of Vinod Sahay and Venkat Srinivas, marking a new chapter in the company's history.
